To effect a simple transfer of proprietary material or information, a material transfer agreement (MTA) is required. The MTA document defines the terms and conditions for transferring the material.
- At the time of transfer no collaboration is anticipated.
- The recipient may use the materials for research purposes only.
- If the materials are covered by a U.S. government patent the recipient will then be able to license and use the materials for commercial purposes.
- Biological materials that are not protected by a patent may also be licensed.
- If the parties contemplate a cooperative research effort over a period of time or if money, staff or equipment is to be supplied by one or more parties, a CRADA is the proper instrument to use.
